Terms of Service

Every client project begins with an explicit, written Scope of Work (SOW) outlining technical specifications, deliverables, target timeline, and fixed milestone pricing:

• Structured 4-Stage Delivery: Work proceeds through 4 transparent phases:1. Discovery & Content Alignment → 2. Clarity & Wireframe Architecture → 3. Design & Interactive Build → 4. Testing, SEO & Live Handover.
• Live Staging Access: You receive a private password-protected staging URL from Day 3 to test and inspect working features as they are built.
• Scope Adjustments: Any features or requirements requested beyond the agreed SOW are scoped and quoted transparently as add-on sprints before implementation.

We believe in complete ownership freedom for every client with zero artificial lock-in:

• Full Git repository ownership is transferred directly to your organization's GitHub or GitLab account.
• You retain full freedom to host on Vercel, AWS, Cloudflare, Supabase, or any infrastructure of your choice.
• We retain zero proprietary claims, licensing penalties, or recurring studio lock-ins on your custom code.

Maintaining our rapid 5-to-10-day launch pace requires active two-way collaboration:

• Clients agree to provide brand assets, logos, copy guidelines, and necessary third-party API credentials promptly upon project kickoff.
• Milestone feedback and sign-offs should be communicated within 3 to 5 business days of receiving staging links to prevent scheduling delays.
• Should a project be placed on hold by the client for more than 30 consecutive calendar days, resumption will be re-scheduled based on studio sprint availability.

We stand firmly behind the performance, accessibility, and visual caliber of our work:

• Unlimited In-Sprint Revisions: Within the active sprint window, we provide unlimited revision rounds to ensure that delivered pages and components precisely match the agreed specifications.
• Complimentary 30-Day Warranty: Every live deployment includes 30 calendar days of post-launch warranty covering bug fixes, browser rendering adjustments, speed checks, and domain configuration at zero additional fee.
• Ongoing Maintenance: Following the 30-day warranty, continuous monitoring, security patching, and ongoing feature updates may be contracted through dedicated monthly care plans.

We maintain strict commercial confidentiality across all client relationships:

• Both parties agree not to disclose proprietary business logic, unreleased product concepts, customer data, or technical architecture to any unauthorized third party.
• We are pleased to execute bilateral Non-Disclosure Agreements (NDAs) prior to reviewing proprietary materials upon client request.
• Unless explicitly requested otherwise in writing or governed by an NDA, Swaynx reserves the right to display completed public websites in our studio portfolio.

To accommodate our international client base, billing is clear, transparent, and multi-currency enabled:

• Invoices are issued electronically with payments accepted via Stripe, international wire transfer, or approved digital methods.
• We support invoicing in: USD ($), GBP (£), EUR (€), SGD (S$), AED (د.إ), and INR (₹).
• Deposits secure sprint capacity and initial architecture. Subsequent milestone payments are due upon delivery and client review of each agreed milestone.

Our cancellation terms directly reflect our client-first milestone model as detailed in our Refund Policy:

• You are never billed for future milestones that have not yet commenced.
• Should a project be cancelled prematurely, completed code and assets produced up to the date of cancellation will be handed over to your repository, with fees reconciled pro-rata.

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of or related to this agreement.

The total aggregate liability of Swaynx for any claim arising from or related to a project engagement shall not exceed the total fees actually received by Swaynx for that specific engagement during the preceding twelve (12) months.
